Over 30 years of experience in C-Level management for computer software/Internet/data communications companies. Extensive background in legal, business and financial issues related to information technology, software, systems development and acquisition, Internet, online, ecommerce, multimedia content and telecommunications. Substantial experience managing international business expansion and administration, merger/acquisitions, licensing, joint ventures, alliances and commercial contracts. In-depth management of Internet and online issues of electronic commerce and contracting, intellectual property (trademark, copyright, patent, trade secret), agency, defamation, privacy, regulatory, and compliance matters.
Experienced in the mediation of business and technology disputes. This experience includes several dozen disputes, approximately half of which have involved system development, licensing and contract issues. AAA cases have included several Internet, software licensing, and technology services agreement issues. Has mediated several disputes arising from the sale or purchase of businesses and related merger and acquisition issues. The amounts in dispute have been in excess of several million dollars, with one technology facilities management case settling for $8.4 million. In these cases, I have effectively leveraged a diverse career experience: five years litigation in a large law firm; eleven years as general counsel and corporate secretary of a public technology/Internet company (CompuServe); nine years as an entrepreneur/CEO & Board Chairman (Internet Transaction Solutions, Online Resources); and, ten years as an active AAA/ICDR arbitrator/mediator.
Many contract and business disputes, particularly focused on: technology, licensing, software and Internet matters; merger and acquisition issues; franchise issues; and general contract matters.
My role as a mediator is to serve the interests of the mediating parties in an efficient and professional manner. My philosophy is that cases should settle when parties address issues objectively. I facilitate this through (1) reviewing the risks of litigation without control over the outcome, (2) educating the parties as to potential adverse findings of fact and law, and (3) assigning a range of value for their claims and exposures. My goal is to benefit the parties through their participation in a methodical and objective process that seeks to displace prejudice, bias, emotions and ego. I consider a mediated consensual outcome vastly superior to wasteful and risky litigation and do my best to share this benefit with those I serve.
