Served as the General Counsel or chief legal officer for three large health systems and one specialty children's hospital. The health systems included private NFP, Catholic NFP, and Governmental institutions, from 400-900 beds, from 2,000-3,500 employees, from $400MM to $750MM in revenues (inf. adj.) and from 600-900 providers/physicians/surgeons. Served as the COO (interim) of a Medicaid Managed Care Organization (38,000 members and 10,000 providers), as General Counsel of a tech-based wellness company (75,000 members), for a physician-management company in the plastic surgery space and for publicly-traded retail pharmacy (1.8MM unique customers).
As a transactional attorney, acquired a competitor health system, three nursing/SNF/ACLU facilities, bought/sold over 75 physician practices, and purchased or sold over a dozen ancillary businesses, including lab, rehab, mobile imaging and staffing. Syndicated an ASO, and later represented individual physicians in the buyout of their interests. Purchased over $100MM in Medical Office buildings (inf. adj) and served as the President of the Office-Owners Association of a condo-office development. Negotiated over $250MM in AIA/Engineer/Prime Contractor Construction Agreements (inf. adj.), modifying the standard forms in each specialty. Resolved multi-million-dollar disputes over construction quality, timing and delays, cost overruns and failure to pay.
As an advocate, represented clients before legislative and executive branches of the State of Florida, securing a Certificate of Need for a cardiac surgery program by advocating for a special act of the legislature exempting client from the normal CON process. Represented (for over three years) railway as an advocate in the State and local governments, on matters from transportation to land-use and from licensure to taxation.
Member and Chair of the Bio-Ethics Committees of the various health systems and remain keenly interested in Bio-Ethics and End-Of-Life decisions, as well as patients-rights and privacy. As the lawyer for the various health systems, regularly advised the medical staff and Medical Executive Committee, the Boards of Directors/Trustees and the Management leaders of the institutions on strategic, legal, compliance and transactional matters. In this role routinely created, reviewed and approved over 200 contracts/agreements per year.
Technology and IP Experience includes:
Registration and sale of domain names totaling $2.6MM
Development of a Healthcare APP that won the CES Award, among others, in 2012 for best Healthcare App
Licensing and royalty agreements for licensed APP
Vendor contracts for major customers of McKesson (Healthcare and Billing Software) and Microsoft (Enterprise-level Contracts for the business suite).
Currently serving a Healthcare Technology and a Security Technology company by licensing patented technology, licensing patented and proprietary services, drafting development agreements for new IP, and acquiring competitor IP and technology companies.

20+ years of negotiating Managed Care Agreements with Blue Cross, Aetna, Humana, United and the Governmental contracts for Medicare and Medicaid and TriCare.

15 years as Executive in charge of the self-insurance program and retention funds (between $5MM and 10MM in escrow) for clients.
