COMMERCIAL
Litigated shareholder derivative and corporate ownership disputes. Litigated external business disputes. Represented Dubai-based distribution companies in multi-million dollar international commercial arbitration alleging fraud, misrepresentation, and breach of contract against Fortune 50 science company. Trial attorney for Plaintiff in lawsuit for breach of contract, breach of oral guarantee, and fraud; obtained unanimous verdict by 11-member jury in client’s favor on all counts in an amount equal to 5x pre-trial best offer of Defendants, plus entitlement to punitive damages and costs. Obtained $2.4 million for client in breach of contract cases against employer. Represented insured in lawsuit against health insurance company, obtained payment of approximately $1 million. Obtained court-ordered removal of Personal Representative of estate, for fraud and estate theft, which led to subsequent criminal conviction and order to pay restitution of over $400,000. Obtained summary dismissal of Defendant in complex, multi-million dollar class-action lawsuit alleging breach of fiduciary duties. Drafted articles of incorporation/organization, operating agreements, buy-sell, stock purchase agreements, asset purchase agreements, capitalization tables, terms and conditions, distribution agreements, offers of employment, independent contractor agreements, invention assignment agreements, employee handbooks, non-compete and non-solicitation clauses, and non-disclosure agreements. Mediations and mandatory settlement conferences have been in the areas of business litigation, breach of contract, shareholder and partnership disputes, technology, healthcare, race/religious/national origin/age/disability/sex/gender identity/familial status discrimination, sexual harassment, retaliation, wrongful termination, and consumer. Adjudicated approximately 100 small claims trials.
I hold pre-mediation calls and request briefs in advance of the mediation, ensuring all parties are thoroughly prepared for the session.
